End User License Agreement

IMPORTANT: PLEASE READ THIS END USER LICENSE AGREEMENT ("AGREEMENT") CAREFULLY BEFORE USING STRATEGIHUB SOFTWARE PRODUCTS.

1. Agreement

This End User License Agreement ("EULA") is a legal agreement between you (either an individual or a single entity) and StrategiHub for the software products identified above, which includes computer software and may include associated media, printed materials, and online or electronic documentation ("Software").

By installing, copying, or otherwise using the Software, you agree to be bound by the terms of this EULA. If you do not agree to the terms of this EULA, do not install or use the Software.

2. Grant of License

StrategiHub grants you the following rights provided you comply with all terms and conditions of this EULA:

2.1 Installation and Use

You may install and use the Software on devices owned or controlled by you, solely for your internal business purposes and in accordance with any documentation provided.

2.2 Subscription License

If you acquired the Software through a subscription, your license to use the Software is limited to the subscription period for which you have paid the applicable fees and is subject to the subscription terms.

2.3 Number of Users

The number of users permitted to access the Software is determined by your subscription tier or license type. You may not exceed the permitted number of users.

3. Restrictions

You may NOT:

  • Copy, modify, or distribute the Software except as expressly permitted
  • Reverse engineer, decompile, or disassemble the Software
  • Rent, lease, or lend the Software to third parties
  • Transfer the Software or this license to another party without written consent
  • Remove any proprietary notices or labels on the Software
  • Use the Software in any manner that could damage or overburden our systems
  • Use the Software to develop competing products
  • Circumvent any access controls or usage limits

4. Intellectual Property

The Software is protected by copyright laws and international copyright treaties, as well as other intellectual property laws and treaties. The Software is licensed, not sold.

StrategiHub and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights therein. This EULA does not grant you any rights to trademarks or service marks of StrategiHub.

5. Your Data

You retain all right, title, and interest in and to any data you input into or generate using the Software ("Your Data"). You grant StrategiHub a limited license to use Your Data solely to provide and improve the Software.

We will not access, use, or disclose Your Data except as necessary to provide the Software, as required by law, or as authorized by you.

6. Updates and Support

6.1 Updates

StrategiHub may provide updates, patches, or new versions of the Software. Such updates may be installed automatically or require your authorization, depending on your settings.

6.2 Support

Support services are provided according to your subscription tier or separate support agreement. StrategiHub is not obligated to provide support for versions of the Software that are no longer current.

7. Term and Termination

7.1 Term

This EULA is effective until terminated. For subscription-based licenses, the term corresponds to your subscription period.

7.2 Termination

This EULA will terminate automatically if you fail to comply with any term. Upon termination, you must destroy all copies of the Software and related documentation.

7.3 Effect of Termination

Upon termination, your right to use the Software ceases immediately. You may export Your Data before termination in accordance with our data export procedures.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. STRATEGIHUB DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT.

STRATEGIHUB DOES NOT WARRANT THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, OPERATE WITHOUT INTERRUPTION, OR BE ERROR-FREE. THE ENTIRE RISK AS TO THE QUALITY AND PERFORMANCE OF THE SOFTWARE IS WITH YOU.

9. Limitation of Liability

IN NO EVENT SHALL STRATEGIHUB BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR DATA USE, ARISING OUT OF OR RELATED TO THIS EULA OR USE OF THE SOFTWARE.

STRATEGIHUB'S TOTAL LIABILITY UNDER THIS EULA SHALL NOT EXCEED THE FEES PAID BY YOU FOR THE SOFTWARE IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

10. Compliance with Laws

You agree to comply with all applicable laws and regulations in your use of the Software, including but not limited to export control laws and data protection regulations.

11. Government Users

If you are a government entity, the Software is provided with restricted rights. Use, duplication, or disclosure by the government is subject to restrictions as set forth in applicable regulations.

12. Governing Law

This EULA shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

13. Entire Agreement

This EULA constitutes the entire agreement between you and StrategiHub regarding the Software and supersedes all prior agreements and understandings, whether written or oral.

14. Severability

If any provision of this EULA is held to be unenforceable, the remaining provisions shall remain in full force and effect.
