End User License Agreement

EULA Agreement

This End User License Agreement ("EULA") is a legal agreement between you and PCI Portal for the use of the PCI Portal software application and related services (the "Software").

1. License Grant

Subject to your compliance with this EULA, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for your internal business purposes.

This license permits you to:

  • Access the Software through supported web browsers
  • Create and manage PCI DSS assessments
  • Upload and store compliance evidence
  • Generate compliance reports and exports
  • Collaborate with authorized team members
2. License Restrictions

You may NOT:

  • ❌ Modify, reverse engineer, or decompile the Software
  • ❌ Remove or alter any proprietary notices or labels
  • ❌ Rent, lease, lend, sell, or redistribute the Software
  • ❌ Use the Software for unlawful purposes
  • ❌ Create derivative works based on the Software
  • ❌ Circumvent technical limitations or security features
  • ❌ Use the Software to develop competing products
  • ❌ Access the Software through automated means (bots, scrapers)
3. Ownership

The Software is licensed, not sold. PCI Portal and its licensors retain all right, title, and interest in and to the Software, including all intellectual property rights. This EULA does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights with respect to the Software.

4. Updates and Maintenance

We may provide updates, patches, or new versions of the Software at our discretion. Updates may be automatically installed. You consent to automatic updates as part of your use of the Software.

We are not obligated to provide maintenance, technical support, or updates, but may choose to do so as part of your subscription plan.

5. Data and Privacy

Your use of the Software involves the collection and processing of data. Please review our Privacy Policy for details on how we collect, use, and protect your data.

Important: You are responsible for ensuring that any data you upload complies with applicable data protection laws and regulations.

6. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND.

We disclaim all warranties, express or implied, including but not limited to:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or reliability of results

Disclaimer: The Software is a compliance tool. It does NOT guarantee PCI DSS compliance. You are responsible for ensuring your organization meets all PCI DSS requirements.

7. Limitation of Liability

IN NO EVENT SHALL PCI PORTAL BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES.

Our liability for any claim related to the Software is limited to the amount you paid for the Software in the 12 months preceding the claim.

This limitation applies to all causes of action, including breach of contract, breach of warranty, negligence, strict liability, misrepresentation, and other torts.

8. Termination

This EULA is effective until terminated. Your rights under this EULA will terminate automatically if you fail to comply with any of its terms.

Upon termination:

  • You must cease all use of the Software
  • Your access will be revoked immediately
  • You should export any data you wish to retain
  • Certain provisions of this EULA will survive termination
9. Compliance with Laws

You agree to comply with all applicable laws and regulations in your use of the Software, including:

  • Export control laws
  • Data protection and privacy laws (GDPR, CCPA, etc.)
  • Payment card industry standards (PCI DSS)
  • Anti-corruption and anti-bribery laws
  • Intellectual property laws
10. Third-Party Components

The Software may include third-party open-source components. These components are governed by their respective licenses. A list of third-party components and their licenses is available upon request.

11. Governing Law and Dispute Resolution

This EULA is governed by the laws of [Your Jurisdiction], without regard to conflict of law principles.

Any disputes arising from this EULA shall be resolved through binding arbitration in accordance with the rules of [Arbitration Association], except that either party may seek injunctive relief in court for violations of intellectual property rights.

12. Changes to this EULA

We reserve the right to modify this EULA at any time. We will notify you of material changes via email or a prominent notice in the Software. Your continued use of the Software after changes constitutes acceptance of the modified EULA.

13. Entire Agreement

This EULA, together with our Terms of Service and Privacy Policy, constitutes the entire agreement between you and PCI Portal regarding the Software and supersedes all prior agreements.
